The Board of Directors believes that effective corporate governance is an important element of Primoris' long-term success and ability to create value. The Board periodically reviews existing corporate governance policies and practices, as well as related provisions of the Sarbanes-Oxley Act of 2002, current and proposed rules of the SEC, and the corporate governance requirements of NASDAQ. Based on its review, the Board has approved charters, policies, procedures and controls that it believes promote and enhance corporate governance, accountability and responsibility and promote a culture of honesty and integrity.
